IOOptiks Terms of Service

1. Acceptance of Terms
By accessing or using IOOptiks ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.
2. Description of Service
IOOptiks is a software-as-a-service (SaaS) platform designed for mobile opticians to manage their practice, including but not limited to:
- Patient and client management
- Appointment scheduling
- Order and inventory tracking
- Invoicing and payment processing
- Website and storefront creation (select plans)
- E-commerce capabilities (select plans)
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
4. Subscription and Billing
IOOptiks offers subscription plans with different feature sets and pricing. By subscribing to a plan:
- You authorize us to charge your payment method on a recurring basis
- You understand that fees are non-refundable except as required by law
- You may cancel your subscription at any time, with access continuing until the end of the billing period
Subscription Tiers
The following subscription plans are available (prices in CAD):
- Basic – $49/month or $490/year: Patient management, appointments, inventory, invoicing, analytics, and POS
- Pro – $99/month or $990/year: All Basic features plus website builder, content management, SEO tools, and deployment
- Business – $149/month or $1,490/year: All Pro features plus online store, e-commerce capabilities, and reduced transaction fees
Prices are subject to change with 30 days' notice. Annual subscriptions receive a discount equivalent to two months free.
5. Transaction Fees
Certain payment transactions processed through the Platform are subject to platform fees, which vary by subscription tier. These fees are in addition to standard payment processor fees (e.g., Stripe).
- Basic – 2.0% platform fee per transaction
- Pro – 1.75% platform fee per transaction
- Business – 1.5% platform fee per transaction
Platform fees apply to storefront and POS transactions processed through Stripe Connect. Transaction fees are subject to change with 30 days' notice.
6. Data Privacy and Medical Records
IOOptiks acts as a service provider for subscribers who handle personal health information. Your use of the Platform is governed by both these Terms and our Privacy Policy, in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial health privacy laws.
PIPEDA Compliance Acknowledgment
As an IOOptiks subscriber, you acknowledge your accountability obligations under PIPEDA and applicable provincial health privacy legislation (PHIPA in Ontario, HIA in Alberta, PIPA in British Columbia, Law 25 in Quebec). IOOptiks shall maintain administrative, physical, and technical safeguards to protect patient records, including:
- 256-bit AES encryption for data at rest
- TLS encryption for data in transit
- Role-based access controls
- Regular security assessments and monitoring
Audit Logging
In compliance with PIPEDA's accountability principle, IOOptiks records all interactions with personal health information, including the who, what, when, where, and how of each access event. These audit logs are retained for 10 years per Canadian healthcare record retention standards.
Patient Access Rights
Subscribers (Opticians) are the legal custodians of patient records stored on the Platform. However, patients retain the right to access, amend, and obtain copies of their own optometric files upon request, in accordance with PIPEDA's Individual Access principle and applicable provincial privacy laws.
7. Acceptable Use
You agree not to:
- Use the Platform for any illegal purpose
- Upload malicious code or interfere with Platform operations
- Attempt to access other users' accounts or data
- Resell or redistribute the Platform without authorization
- Use the Platform to store or transmit infringing or harmful content
8. Mobile Practice and Travel Disclosures
Mobile optician services introduce unique logistical considerations. The following terms apply to mobile service delivery facilitated through the Platform:
Travel Fees
The total price for mobile services must be disclosed to patients at the time of booking, including any non-refundable travel or consulting fees. Subscribers are responsible for ensuring transparent pricing in their service offerings.
Appointment Availability
Appointments are subject to change based on logistical factors including but not limited to traffic conditions, equipment availability, and unforeseen circumstances. IOOptiks provides scheduling tools but disclaims liability for appointment changes or cancellations.
Service Zones
Services are only provided within defined Service Zones as configured by each subscriber. Entry into private residences is at the sole discretion of the optician and subject to local safety standards and regulations.
9. Professional Liability and Equipment
The following terms protect the Platform from clinical and equipment-related liabilities:
Professional Liability Insurance (PLI)
It is a mandatory condition of using IOOptiks that all regulated members (Opticians) maintain individual Professional Liability Insurance of not less than $2,000,000 CAD per occurrence. Proof of insurance may be requested at any time.
Equipment Standards
Opticians are solely responsible for maintaining their own clinical equipment in a state of proper hygiene, calibration, and safety. IOOptiks is not liable for clinical errors resulting from equipment malfunction, miscalibration, or improper use.
Product Warranty
All eyewear dispensed through the Platform must meet applicable ANSI standards. Warranties for frames, lenses, and coatings are provided by the subscriber or manufacturer, not IOOptiks. The Platform facilitates order management but does not manufacture or warrant optical products.
10. Prescription and Dispensing
The following terms apply specifically to prescription management, the Glasses Builder feature, and Point of Sale (POS) functionality:
Release of Prescriptions
Opticians must provide patients with a copy of their prescription in accordance with applicable regulations. IOOptiks facilitates prescription management through digital patient portals but is not responsible for the clinical accuracy of objective or subjective refraction results.
Dispensing Responsibility
The subscriber is solely responsible for ensuring that any ophthalmic appliance (glasses, contact lenses, or other optical devices) dispensed through the Platform is appropriate for the patient's determined needs. IOOptiks provides tools to facilitate dispensing but does not verify clinical appropriateness.
Prescription Verification
For orders placed through the e-commerce storefront, patients must provide valid prescription information. Subscribers are responsible for verifying prescription validity before fulfilling orders.
11. Healthcare Compliance
While IOOptiks provides tools for optician practice management, you remain solely responsible for ensuring compliance with all applicable healthcare regulations in your jurisdiction, including but not limited to:
- Provincial/territorial optician licensing requirements
- Patient privacy laws (PIPEDA, provincial health privacy acts)
- Professional standards of practice
- Continuing education requirements
- Record retention requirements
12. Intellectual Property
The Platform, including its design, code, and content, is owned by IOOptiks and protected by intellectual property laws. You are granted a limited, non-exclusive license to use the Platform for your business purposes in accordance with these Terms.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IOOPTIKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. THIS INCLUDES, WITHOUT LIMITATION:
- Clinical errors or patient outcomes
- Equipment malfunction or failure
- Appointment cancellations or scheduling conflicts
- Product defects in dispensed eyewear
- Third-party service interruptions (payment processors, hosting providers)
14. Indemnification
You agree to indemnify and hold harmless IOOptiks, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your clinical practice or patient care
- Products dispensed to patients
- Any breach of patient privacy or confidentiality
15. Modifications to Terms
We may modify these Terms at any time. Material changes will be notified to you through the Platform, and you will be required to accept the updated Terms to continue using the service. Your continued use of the Platform after accepting modified Terms constitutes agreement to those changes.
16. Termination
We reserve the right to suspend or terminate your access to the Platform for violations of these Terms or for any other reason at our discretion. Upon termination:
- Your right to use the Platform ceases immediately
- You may export your data for 30 days following termination
- Patient records will be retained as required by law
- Outstanding fees remain payable
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Canada and the Province of Ontario, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Ontario.
